TERMS OF USE AND PRIVACY POLICY

Effective January 17, 2017

This Terms of Use and Privacy Policy (“Policy”) is an agreement between you and Nutri-Link Technologies, Inc., with a principal place of business in Georgia (“Nutri-Link”), that governs your use of the www.schoollunchapp.com web site (the “Site”).

The Site is offered to you conditioned on your acceptance, without modification, of the terms, conditions, and notices contained in this Policy. Your use of the Site constitutes your agreement to all such terms, conditions, and notices.  If you do not accept this Policy, you may not use the Site.

Please note that special terms or authorizations apply to some services or products offered on or through the Site, including, without limitation, the electronic Free and Reduced Price School Meals Application program offered by Nutri-Link on the Site (the “Service”).  These terms may be posted on the Site in connection with the applicable products and services, and you are required to agree to such terms prior to Nutri-Link’s provision of any services to you.  Any such terms are in addition to this Policy, and in the event of a conflict, prevail over this Policy.  

As used in this Policy, “we,” “our” or “us” refers to Nutri-Link.  “You,” “yours” or other similar designation refers to the person accessing or using the Site.

Nutri-Link reserves the right to change this Policy at any time, so we encourage you to review this web page periodically.  The changes will be effective immediately when posted.  Your use or continued use of the Site following the posting of any changes to this Policy shall constitute your acceptance of the changed Policy.   

I.  TERMS OF USE

SITE CONTENT

All of the content on the Site is subject to copyright, trademark, service mark, trade dress and other intellectual property rights or licenses held by us or our licensors.  We grant you a limited license to access and use the Site for the limited purpose of gathering information about and participating in the programs and services offered by Nutri-Link through the Site, including, without limitation, the Service.  You may not use the trademarks, service marks, trade dress and copyrighted material displayed on the Site.  Other than as set forth above, we and our licensors retain all right, title and interest in and to the Site, including all copyrights, patents, trade secrets and trademarks, and reserves all rights not expressly granted herein.

You may not download (other than page caching) the Site, or any portion of it, except with our express written consent.  You also may not copy, reproduce, modify, publish, distribute, transmit, transfer or create derivative works from any portion of the Site or any materials contained on the Site (including, without limitation, computer programs or other code).  You must abide by all trademark and copyright notices, information, or restrictions contained in or attached to any content or portion of the Site.

Your license to access and use the Site and the Service does not include any resale or commercial use of the Site, the Service or its contents; any collection and use of any service or program listings, descriptions, or prices; any downloading or copying of account information for the benefit of another person or company; or any use of data mining, robots, or similar data gathering and extraction tools.  The Site or any portion of the Site may not be visited or otherwise exploited for any commercial purpose other than your personal purposes without our express written consent.  You may not frame or utilize framing techniques to enclose any trademark, logo, copyright or other proprietary information (including images, text, page layout, or form) of the Site without our express written consent.  You may not use any meta tags or any other "hidden text" utilizing the name, domain name or trademarks of Nutri-Link without the express written consent of Nutri-Link.  Any unauthorized use terminates the permission or license granted by Nutri-Link.

We may change, suspend or discontinue any aspect of the Site at any time, including the availability of any Site feature, database or content.  We may also impose limits on certain features and services or restrict your access to parts or the entire Site without notice or liability.

LINKS TO THIRD PARTY SITES

The Site may contain links to other Web Sites ("Linked Sites"). The Linked Sites are not under the control of Nutri-Link, and Nutri-Link is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. We do not guarantee or attest to the accuracy and completeness of the information obtained through these Linked Sites.  Accordingly, Nutri-Link will not be held liable for decisions made based upon information on these Linked Sites.  We are not responsible for web casting or any other form of transmission received from any Linked Site. We are providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Nutri-Link of the site or any association with its operators, and we have no control over the quality, accuracy or comprehensiveness of the information obtained.

USE OF SITE

As a condition of your use of the Site, you warrant that you will not use the Site for any purpose that is unlawful or prohibited by this Policy. You may not use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party's use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.  You further represent, warrant and covenant that you will not upload, post or transmit to or distribute or otherwise publish through the Site any materials that (i) restrict or inhibit any other user from using and enjoying the Site, (ii) are unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, offensive, pornographic, profane, sexually explicit or indecent, (iii) constitute or encourage conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate law, (iv) violate, plagiarize or infringe the rights of third parties including, without limitation, copyright, trademark, patent, rights of privacy or publicity or any other proprietary right, (v) contain a virus or other harmful component, (vi) contain any information, software or other material of a commercial nature, (vii) contain advertising of any kind, or (viii) contain false or misleading indications of origin or statements of fact.

GENERAL SUBMISSIONS

From time to time on the site, we may make available forums, discussion boards, contact forms, or other means of communication with us or with other Site users.  By posting, uploading, inputting, providing or submitting any materials or engaging in any other form of communication (individually or collectively "Submissions") to or through the Site or its associated services, you grant  Nutri-Link and  its affiliated companies and necessary sub licensees a perpetual, worldwide, irrevocable, unrestricted, non-exclusive, royalty free license to use, copy, license, sublicense, adapt, distribute, display, publicly perform, reproduce, transmit, modify, edit and otherwise exploit such Submissions, in all media now known or hereafter developed, unless otherwise prohibited by the terms of this Policy or any applicable federal, state or local law or regulation (including, without limitation, any regulation applicable to the Services). You hereby waive all rights to any claim against Nutri-Link for any alleged or actual infringements of any proprietary rights, rights of privacy and publicity, moral rights, and rights of attribution in connection with Nutri-Link’s authorized use of such Submissions.

By posting, uploading, inputting, providing or submitting your Submission, you warrant and represent that you own or otherwise control all of the rights to your Submission as described herein, including, without limitation, all the rights necessary for you to provide, post, upload, input or submit such Submission.  You acknowledge that, by submitting Submissions through the Site, no confidential, fiduciary, contractually implied or other relationship is created between you and Nutri-Link other than pursuant to this Policy or as established by applicable federal, state or local law or regulations.   

The terms of this paragraph do not apply to any Student Data (as defined in the Privacy Policy) submitted or provided via the Service, which Student Data submissions are governed by our Privacy Policy. We will not use, transmit or distribute any such Student Data, except as permitted by the Privacy Policy. 

TRUTHFUL DISCLOSURE 

Some services provided through the Site, including, without limitation, the Service, permit or require you to create an account or register with the Site or to submit certain personal information to participate in the Site or the Service.  You agree to provide and maintain accurate and complete information about yourself as prompted by the Site. By providing us with such information, you authorize us and our third party agents to make any inquiries we consider necessary to confirm such information. You will not impersonate any third party or misrepresent your identity or affiliation with any third party, including using another person's account information, or another person's name, likeness, voice, image or photograph. You are responsible for maintaining the confidentiality of your personal information and for restricting access to your computer or your user name and password. You agree to notify us promptly of any unauthorized use of your identity, or personal information, or other breach of security that you become aware of involving or relating to the Site or Service.  

LIABILITY DISCLAIMER AND LIMITATION

THE SITE AND THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES (INCLUDING, WITHOUT LIMITATION, THE SERVICE), CONTENTS, GRAPHICS DOCUMENTS AND OTHER ELEMENTS INCLUDED IN OR AVAILABLE THROUGH THE SITE (COLLECTIVELY, THE “CONTENTS”) MAY INCLUDE INACCURACIES OR ERRORS.  WE MAKE NO GUARANTEES WHATSOEVER AS TO THE CORRECTNESS OR ACCURACY OF THE SITE OR ITS CONTENTS.  WE MAY, IN OUR SOLE DISCRETION, MAKE IMPROVEMENTS , DELETIONS OR OTHER CHANGES IN THE SITE AND THE CONTENTS HEREOF, INCLUDING WITHOUT LIMITATION THE AVAILABILITY OF ANY SITE FEATURE, SOFTWARE, DATABASE OR CONTENT, AT ANY TIME WITHOUT NOTICE, BUT WE ARE NOT REQUIRED TO DO SO.  WE MAY ALSO IMPOSE LIMITS ON CERTAIN FEATURES AND SERVICES OR RESTRICT YOUR ACCESS TO THE SITE OR TO PORTIONS OF IT WITHOUT NOTICE OR LIABILITY.

WE MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE SITE OR THE CONTENTS FOR ANY PURPOSE. IN NO EVENT SHALL NUTRI-LINK OR ITS LICENSORS, DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH IN ANY WAY THE SITE, ITS CONTENTS OR ANY LINKED SITE, INCLUDING (WITHOUT LIMITATION) COMPENSATORY, DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL EXEMPLARY OR PUNITIVE DAMAGES, LOSS OF USE, DATA OR PROFITS, LOSS OF OR DAMAGE TO PROPERTY AND CLAIMS OR THIRD PARTIES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, THE SERVICES OR ANY OF THE TERMS OR CONDITIONS CONTAINED IN THIS POLICY, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE AND THE SERVICES.

TERMINATION; ACCESS RESTRICTION

We reserve the right, in our sole discretion, to suspend the Site or your use of the Site or terminate this Policy or your access to the Site and the related services or any portion thereof at any time, without notice, for any reason, including, in the case of the Policy, for your violation of any of its provisions.   The Liability Disclaimer and Limitation, Submissions, Indemnification and General sections of this Policy shall survive any such termination.

INDEMNIFICATION

You agree to indemnify, defend and hold Nutri-Link and all its directors, officers, agents, employees, information providers, partners, affiliates, licensors and licensees (collectively, the "Indemnified Parties") harmless from and against any and all liability and costs incurred by the Indemnified Parties (including, without limitation, reasonable attorneys' fees and costs) in connection with any claim arising out of or related to (i) your Submissions as provided to Nutri-Link or (ii) any breach by you of the Policy or the representations, warranties and covenants contained herein.  You shall cooperate as fully as reasonably required in the defense of any claim.  Nutri-Link reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not in any event settle any matter without the written consent of Nutri-Link.

In addition, you acknowledge and agree that we have the right to seek damages when you use the Site for unlawful purposes, in an unlawful manner, or in a manner inconsistent with the terms of these Terms, and that such damages may include, without limitation, direct, indirect, special, incidental, cover, reliance or consequential damages. In the event that we are required to respond to a third party or law enforcement subpoena or court order that is related to your use of the Site or the Products, we may, in our sole discretion, require you to reimburse us for our reasonable expenses associated with complying with such subpoena or order.

GENERAL 

No waiver of any provision hereof or of any right or remedy hereunder shall be effective unless in writing and signed by the party against whom such waiver is sought to be enforced.  No delay in exercising, no course of dealing with respect to, or no partial exercise of any right or remedy hereunder shall constitute a waiver of any other right or remedy, or future exercise thereof.  No amendment, change, waiver, or discharge hereof shall be valid unless in writing and signed by both parties.  No agency, partnership, joint venture, or employment is created as a result of these Terms, and you do not have any authority of any kind to bind us in any respect whatsoever.  The headings of the sections of these Terms are for convenience only and have no legal or contractual effect. Any notice to you in connection with this Agreement will be effective when we send it to the last email or physical address you gave us or posted on our Site. Any notice to us will be effective when delivered to us at our physical address, 925B Peachtree St. NE, #502, Atlanta, GA 30309, Attn: President, or any addresses as we may later post on the Site.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THIS AGREEMENT IS GOVERNED BY THE LAWS OF THE STATE OF GEORGIA APPLICABLE TO CONTRACTS MADE AND PERFORMED THERE WITHOUT REGARD TO ITS CONFLICTS OF LAW PRINCIPLES. YOU HEREBY CONSENT TO THE EXCLUSIVE JURISDICTION AND VENUE OF THE STATE AND FEDERAL COURTS HAVING JURISDICTION OVERIN GWINNETT COUNTY, GEORGIA, IN ALL DISPUTES ARISING OUT OF OR RELATING TO THE USE OF SITE OR THIS POLICY AND WAIVE ANY JURISDICTIONAL, VENUE, OR INCONVENIENT FORUM OBJECTIONS TO SUCH COURTS.  If you violate, or threaten to violate this Policy, then we will have the right, and in addition to all other remedies available we might have in equity or under this Policy, to affirmative or negative injunctive relief from a court of competent jurisdiction.  You acknowledge that a violation of this Policy would cause irreparable harm and that all other remedies are inadequate. If any part of this Policy is determined to be invalid or unenforceable by a court of competent jurisdiction, the invalid or unenforceable provision will be deemed eliminated to the minimum extent necessary and the remainder shall continue in effect.. Unless otherwise expressly stated herein, this Policy constitutes the entire agreement between the parties with respect to your use of the Site and the Services and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the parties.  Any cause of action you may have with respect to your use of the Site must be commenced within one (1) year after the claim or cause of action arises.  In any action to enforce this Policy, the prevailing party will be entitled to costs and attorneys' fees.  

None of this Agreement, your account or your obligations or rights hereunder may be transferred or assigned by you without our prior written consent, and any attempted assignment, transfer or other disposition by you in violation of this provision will be null, void and of no force and effect.  We may freely assign this Agreement without your consent.  This Agreement shall inure to the benefit of and be binding upon the permitted successors, legal representatives and assigns of the parties hereto.  There shall be no third party beneficiaries to this Agreement.  Time is of the essence.  

II.  PRIVACY POLICY

We understand that privacy is tremendously important to our online visitors to our Site, to school districts and schools that purchase or subscribe to our Service (“Clients”) and to guardians and students whose information is transmitted to our Clients through the Site (“Users”). This privacy policy applies to the Site and the Service and will help you understand how we collect, use and safeguard the personal information provided to us on the Site and through the Services.

A Special Note for International Visitors to our Site:  Much of our computer systems are currently based in the United States, so your personally identifiable information will be processed by us in the United States, where data protection and privacy regulations may be different than other parts of the world, such as the European Union.  If you visit the Site or use the Services as a visitor from outside the United States, you are agreeing to the terms of this Policy and our Terms, and you will have consented to the transfer and processing of all such information in the United States, which may not offer an equivalent level of protection of that in the European Union or certain other countries.

Transparency. We will always be transparent with the methods we use to collect data and describe exactly how we will use it to the benefit and strict direction of our Clients and their users.

1. HOW WE COLLECT AND USE INFORMATION

We collect the following types of information:

Information about Clients and Their Users: We ask for certain information when a Client or User registers with Nutri-Link, or if the User corresponds with us online, which may include a name, school name, school district name, school email address or account name and password, phone number, /or message content. We may also retain information provided by a Client if the Client sends us a message, posts content to our website or through our Services, or responds to emails or surveys. Once a Client begins using the Service, we will keep records of activities related to the Service. We use this information to operate, maintain, and provide to the features and functionality of the Services to monitor our service offerings and functionality, and to communicate with our Clients, their users and website visitors.

We may also use this general information we collect from Clients and their Users to periodically send information that we think our Clients or their Users might find of interest from Nutri-Link or its partners such as new services, special offers, or other important service changes. You always have the option to opt out of our internal marketing communications by contacting us at info@n-ltech.com or by following the opt-out procedure outlined in such communications.  Please note that opting out of receiving these communications will not remove your personal information from our files and we will still contact you as necessary to provide the Service at your request.  

Student Data: Nutri-Link may have access to personally identifiable information about students and their guardians (collectively, “Student Data”) in the course of providing the Service to a Client. We consider Student Data to be confidential and do not access or use such data for any purpose other than to provide the services on the Client’s behalf. Student privacy is very important to us. Student Data is used only for educational purposes as directed by the applicable Client. We receive Student Data from our Clients and from your submissions. We have access to Student Data only as requested by the Client and only for the purposes of performing the Service on the Client’s behalf, and we limit the number of people within our organization who have access to Student Data.

Information Collected through Technology: We automatically collect certain types of usage information when visitors view the Site or use the Service. We may send one or more cookies — a small text file containing a string of alphanumeric characters — to your computer that uniquely identifies your browser and lets Nutri-Link help you log in faster and enhance your navigation through the site. A cookie may also convey information to us about how you use the Service (e.g., the pages you view, the links you click and other actions you take on the Service), and allow us to track your usage of the Service over time. We may collect log file information from your browser or mobile device each time you access the Service. Log file information may include anonymous information such as your web request, Internet Protocol (“IP”) address, browser type, information about your mobile device, number of clicks and how you interact with links on the Service, pages viewed, and other such information. We may employ clear gifs (also known as web beacons), which are used to anonymously track the online usage patterns of our Users. In addition, we may also use clear gifs in HTML-based emails sent to Users to track which emails are opened and which links are clicked by recipients. The information allows for more accurate reporting and improvement of the Service. We may also collect analytics data, or use third-party analytics tools, to help us measure traffic and usage trends for the Service. We do not allow third party advertising networks to collect information about the users of our Site or Service.

We use or may use the data collected through cookies, log files, device identifiers, and clear gifs information to: (a) remember information so that a user will not have to re-enter it during subsequent visits; (b) provide custom, personalized content and information; (c) to provide and monitor the effectiveness of our Service; (d) monitor aggregate metrics such as total number of visitors, traffic, and usage on our website and our Service; (e) diagnose or fix technology problems; and (f) help users efficiently access information after signing in.

2. HOW WE SHARE INFORMATION

Nutri-Link only shares personal information in a few limited circumstances, described below. We do not rent or sell User’s personal information for marketing purposes.

•    We may share information with certain third-party providers whose software or services interface with or otherwise may receive information from, or provide information to, the Service, but only as directed or approved by our Clients or the User.
•    We may share information with those that provide us with technology services (e.g. web hosting and analytics services), but strictly for the purpose of carrying out their work for us.
•    We may be required to share information with law enforcement or other third parties when compelled to do so by court order or other legal process, to comply with statutes or regulations, to enforce this Policy or other service agreements, or if we believe in good faith that the disclosure is necessary to protect the rights, property or personal safety of our users.
•    In the event of a change of control: If we sell, divest or transfer the business or a portion of our business, we may transfer information, provided that the new provider has agreed to data privacy standards no less stringent than our own. We may also transfer personal information – under the same conditions – in the course of mergers, acquisitions, bankruptcies, dissolutions, reorganizations, liquidations, similar transactions or proceedings involving all or a portion of our business.

3. HOW WE PROTECT YOUR INFORMATION

We store our data in the United States and we take strong measures to keep data safe and secure.

Storage and Processing: Any information collected through the Service is stored and processed in the United States. If you use our Service outside of the United States, you consent to have your data transferred to the United States.

Keeping Your Information Safe: Nutri-Link maintains strict administrative, technical and physical procedures to protect information stored in our servers, which are located in the United States. While no service provider can guarantee absolute security when communicating over the internet or wireless networks, we are committed to taking steps to help secure any personal information that may be in our possession.  Access to information is limited (through user/password credentials and two factor authentication) to those employees who require it to perform their job functions. We use industry-standard Secure Socket Layer (SSL) encryption technology to safeguard the account registration process and sign-up information. Other security safeguards include, but are not limited to,   data encryption, firewalls, and physical access controls to building and files.  

You are solely responsible for maintaining the secrecy of any password used to log in to the Service, if any, and you should always be mindful and responsible whenever disclosing information online that the information is potentially accessible to the public, and consequently, could be collected and used by others without your consent.

4. CHOICES ABOUT YOUR INFORMATION

Information Retained by Nutri-Link: Nutri-Link allows you to change or modify the information you have previously provided to us.  Upon request via e-mail or postal mail, Nutri-Link will provide you with a summary of any of your personal information retained by Nutri-Link.  You may modify, correct, change, or update your personal record on Nutri-Link’s database.  Nutri-Link will only send personal records to the e-mail address on file for the visitor name associated with it.  Upon request, Nutri-Link will also remove your personal information from its database, thereby canceling your registration, if any, and your license and permission to use the Site.  Unfortunately, to the extent such information is also stored in other databases, we cannot always ensure that such corrections or deletions will reach the other databases.  We will use all reasonable efforts to ensure that your information is removed from or corrected in our records.  If you have any questions about reviewing or modifying account information, contact us directly at info@n-ltech.com.  

Access to Student Data: Student Data is controlled by our Clients. If you have any questions about reviewing, modifying, or deleting personal information of a student, please contact your school district directly.

Deleting or Disabling Cookies: You may be able to disallow cookies to be set on your browser. Please look for instructions on how to delete or disable cookies and other tracking/recording tools on your browser’s technical settings. How Long We Keep User Content: Following termination or deactivation of a Client relationship, Nutri-Link may retain profile information and content for a commercially reasonable time for backup, archival, or audit purposes, but any and all Student Data associated with the Client that is stored on Nutri-Link’s servers (if any) will be deleted promptly. We may maintain anonymized or aggregated data, including usage data, for analytics purposes.

5. COMPLIANCE WITH STUDENT DATA PRIVACY LAWS

Family Educational Rights and Privacy Act: Nutri-Link understands and is compliant with all applicable aspects of the federal Family Educational Rights and Privacy Act, 20 USC § 1232(g) et seq. (“FERPA”), and associated regulations regarding “personally identifiable information” (“PII”), as such term is defined in FERPA, and Nutri-Link follows federal guidelines in regard to the collection, production, and distribution of PII included in Student Data we receive.  For more information regarding FERPA, see http://www2.ed.gov/policy/gen/guid/fpco/ferpa/index.html.  We agree that we will manage and use such PII in accordance with FERPA and applicable state statutes, regulations, and policies.  

Compliance with State Student Data Privacy Laws: To the extent your state has specific state statutes, regulations, and policies regarding student data privacy and security not otherwise covered by this Policy, or if you have any questions about our data privacy compliance practices or procedures, please contact us at info@n-ltech.com.

6. CHILDREN’S PRIVACY

Nutri-Link does not knowingly collect any information from children under the age of 13 unless the Client has obtained appropriate parental consent for the student to use the Service. FURTHER, BY USING THE SITE OR THE SERVICES, YOU ARE ATTESTING THAT YOU ARE 18 YEARS OF AGE OR OLDER.  Please contact us at info@n-ltech.com if you believe we have inadvertently collected personal information of a child under 13 without proper parental consents so that we may delete such data as soon as possible.
